Challenges in the Cryptologic Acquisition For Amaya

Suddenly, there are compliance issues for casino software company Amaya Gaming in its acquisition of Cryptologic, a deal that was announced last month. And they will have to make some changes to get the house in order.

Essentially, here is the problem: there is a requirement on the part of NASDAQ's audit committee that mandates that a company in the position of Cryptologic, which was acquired by Amaya, must have at least three independent directors. Well, two of the directors - Simon Creddy Smith and James Wallace - resigned from the Cryptologic board, effective as of the announcement of the acquisition deal. As a result, there is only one independent director on board.

So now there is a 45-day period for Amaya to come into compliance with NASDAQ rules. The Canadian-based company originally announced the acquisition transaction in December, as it amounted to a total of $34.5 million. As of mid-April, Amaya had control over approximately 86% of the company. Then changes were made. Davis Gavagan stepped down as Chief Operating Officer of Cryptologic and was replaced by Amaya's CEO, David Baazov. The CFO of Cryptologic, Huw Spears, was also replaced. And upon the resignation of Smith and Wallace, Baazov and Divyesh Gadhia, who were on the Amaya board, took their places.
